The SEC form that insiders use to disclose changes in their beneficial ownership of company securities.
Definition
Form 4 is filed by directors, officers, and 10%+ beneficial owners ('insiders') within two business days of any transaction in their company's securities. Each Form 4 reports the transaction date, the security, the number of shares, and the price per share.
Cluster buys — multiple insiders acquiring on the same day or within a short window — are read as a bullish internal signal.
