Schedule 13G
The passive-investor variant of Schedule 13D, used when the filer has no intent to influence.
Definition
Schedule 13G is the passive-investor counterpart to 13D. Filers above the 5% threshold who have no intent to influence the issuer's control — typically index funds, registered investment advisers in the ordinary course of business — file 13G instead. It has lighter disclosure requirements and longer filing windows.
When an existing 13G filer crosses to 13D, that's a meaningful signal: passive holding has become active intent.
